Liquor Logic Terms and Conditions
1. Introduction
Welcome to Liquor Logic, a comprehensive management solution for wineries, distilleries, breweries, and cideries. By using our services, you agree to abide by these Terms and Conditions. These Terms outline the rights and obligations of both Liquor Logic and the user. Please read them carefully.
By using Liquor Logic, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree, you should not use our services.
2. Definitions
For clarity, we define key terms used throughout these Terms:
- "Agreement" means these Terms and Conditions.
- "Access Fee" refers to the fee payable for access to the Service as defined in the Fee Schedule.
- "Confidential Information" includes all proprietary and non-public information shared between parties.
- "Data" refers to all information inputted into the Liquor Logic platform by you or on your behalf.
- "Service" refers to the suite of services and tools provided by Liquor Logic.
- "Website" refers to the online presence and portal provided by Liquor Logic, including all content and functionality.
- "You" or "Customer" refers to any user, individual, or entity that subscribes to and uses the Liquor Logic Service.
3. Use of the Service
Liquor Logic grants you a non-exclusive, non-transferable, limited right to access and use our Service based on your subscription and chosen service tier.
Your use of the Service must be in compliance with all applicable laws and regulations, including but not limited to data protection laws and intellectual property laws.
You must provide accurate and complete information when registering for the Service and keep it up to date.
You agree to not use the Service for any unlawful activities, including but not limited to:
- Engaging in fraudulent activities or impersonating others.
- Uploading or sharing harmful or illegal content.
- Attempting to access or tamper with any part of the system that you are not authorized to access.
4. Account Security and Passwords
You are responsible for maintaining the confidentiality of your account credentials, including your password. Any activity under your account is your responsibility, regardless of whether or not you authorized it.
If you suspect any unauthorized access or security breach, you agree to notify Liquor Logic immediately.
5. Confidentiality and Privacy
Confidentiality
Both parties agree to maintain confidentiality regarding all non-public information exchanged during the term of this Agreement. This includes proprietary information, trade secrets, production data, recipes, batch logs, and business practices. Confidentiality obligations will remain in effect for five (5) years after termination.
Any subcontractors, service providers, or affiliates with access to your data must adhere to the same confidentiality standards. In the event of a breach or suspected breach, Liquor Logic will notify you immediately.
Privacy
Liquor Logic respects your privacy and is committed to safeguarding your personal and production data. Our Privacy Policy outlines our practices regarding data collection, storage, and usage. By using the Service, you agree to the terms outlined in our Privacy Policy.
All data is encrypted at rest. Administrator access is restricted and granted only under secure, auditable support processes.
6. Intellectual Property and Data Use
All intellectual property rights in the Service, Website, software, and related documentation are owned by Liquor Logic and its licensors. You agree to use these only in accordance with the permissions granted by us.
Any data you input into the platform remains your property. You grant Liquor Logic a limited license to use, process, and store your data only as necessary to provide the Service. Your data will not be shared with third parties or used for analytics, benchmarking, or product development without your explicit consent.
7. Warranties and Acknowledgements
Liquor Logic makes no express or implied warranties regarding the availability, reliability, or functionality of the Service, except as outlined in this Agreement.
You acknowledge that:
- The Service may be temporarily unavailable due to maintenance or unforeseen issues.
- You are responsible for ensuring that the Service meets your specific business requirements.
- Liquor Logic does not guarantee the accuracy or completeness of any data or content provided by the Service.
8. Limitation of Liability
To the maximum extent permitted by law, Liquor Logic shall not be held liable for any indirect, incidental, special, or consequential damages, including but not limited to lost profits, loss of data, or service interruptions.
Liquor Logic is not liable for incorrect rates used for excise calculations. Liquor Logic bases its calculations on the available information at the time.
Your exclusive remedy for any dissatisfaction with the Service is to terminate your subscription and discontinue use of the Service.
9. Payment and Billing
All payments are due in advance on a monthly or annual basis, as per your chosen subscription plan. If any fees are not paid on time, Liquor Logic reserves the right to suspend or terminate your access to the Service.
We may revise the fees from time to time and will provide notice of any changes before they take effect. You agree to pay all applicable taxes associated with the Service.
10. Termination and Post-Termination Handling
Either party may terminate this Agreement at any time by providing written notice. Termination may be initiated if the other party breaches any material terms of this Agreement and fails to cure the breach within a specified period.
Upon termination, you will cease using the Service and return or destroy any proprietary materials provided by Liquor Logic.
You may request a full export of your data in a widely compatible format. We will provide written confirmation of the complete deletion of your data from all active systems and backups within thirty (30) days, except where legally required to retain it.
If you cancel your subscription, you may be eligible for a pro-rata refund if the cancellation occurs within a certain time period after payment, as outlined in the Fee Schedule.
11. Help Desk and Support
Liquor Logic provides customer support via email and the support portal. Support is available during business hours.
We target a minimum of 99% uptime, excluding planned maintenance. Backups are performed daily, retained for 30 days, and can be restored within 6 hours in the event of an incident. Our infrastructure includes geographic redundancy and a disaster recovery plan.
Support requests are triaged by severity, with target response times ranging from 1 hour (critical) to 24 hours (minor).
Feature requests may be submitted through our platform. We commit to acknowledging and reviewing every request, and will notify you if your request is accepted, declined, or queued for development.
12. Dispute Resolution and Legal Recourse
This Agreement is governed by the laws of South Africa. Disputes will be resolved through mediation or arbitration before litigation, unless otherwise agreed.
The courts of Cape Town, South Africa shall have exclusive jurisdiction for unresolved legal disputes.
Claims must be raised within 12 months of the event in question. Breaches involving data, confidentiality, or service availability must be addressed within 10 business days of notice.
13. General Terms
Entire Agreement
These Terms, along with our Privacy Policy and any other supplementary documents, constitute the entire Agreement between you and Liquor Logic regarding the Service.
Amendments
Liquor Logic will notify users in advance of material changes to these Terms. Such changes require mutual agreement to take effect. Non-material changes will be posted on this page and become effective upon posting.

Severability
If any part of these Terms is found to be unenforceable or invalid, the rest of the Terms will remain in full effect.
