Liquor Logic End User License Agreement (EULA) and Terms and Conditions

1. Introduction
Welcome to Liquor Logic, a cloud-based business management platform designed for wineries, distilleries, breweries, cideries, and other beverage production businesses.
By accessing or using the Liquor Logic platform, website, applications, integrations, or services, you agree to be bound by these Terms and Conditions. These Terms form a legally binding agreement between you and Liquor Logic.
If you do not agree to these Terms, you must not use the Service.
2. Definitions
- "Agreement" means these Terms and Conditions.
- "Access Fee" refers to the fees payable for access to the Service.
- "Confidential Information" includes proprietary and non-public information shared between parties.
- "Customer Data" refers to all data, records, files, recipes, production logs, financial information, inventory data, and content uploaded into the platform.
- "Service" means the Liquor Logic software platform, website, APIs, integrations, and related services.
- "Website" refers to the Liquor Logic website and associated domains.
- "You" or "Customer" means any person or entity using the Service.
- "Third-Party Services" means external services or platforms integrated with Liquor Logic, including accounting, logistics, payment, and reporting systems.
3. License and Use of the Service
Liquor Logic grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with your subscription plan and these Terms.
You agree to use the Service only for lawful business purposes and in compliance with all applicable laws and regulations.
You must:
- Provide accurate registration and account information.
- Maintain updated contact and billing details.
- Ensure all users accessing your account are authorized.
- Maintain the confidentiality of your login credentials.
You may not:
- Use the Service for unlawful, fraudulent, or misleading activities.
- Attempt to gain unauthorized access to systems, servers, or customer data.
- Reverse engineer, copy, or resell the Service.
- Upload malicious software, scripts, or harmful content.
- Interfere with platform stability, security, or performance.
4. Account Security and Passwords
You are responsible for safeguarding your account credentials and for all activities occurring under your account.
If you suspect unauthorized access, data exposure, or a security breach, you must notify Liquor Logic immediately.
Liquor Logic reserves the right to suspend accounts where suspicious or unauthorized activity is detected.
5. Confidentiality and Privacy
Confidentiality
Both parties agree to maintain strict confidentiality regarding all non-public information exchanged during the use of the Service.
Confidential Information includes:
- Production data
- Recipes and formulations
- Batch records
- Business operations
- Financial records
- Customer information
- Trade secrets and proprietary processes
Confidentiality obligations survive termination of this Agreement for a period of five (5) years.
Privacy
Liquor Logic respects your privacy and is committed to protecting customer and production data.
By using the Service, you consent to the collection, processing, and storage of data as described in our Privacy Policy.
All customer data is encrypted during transmission and encrypted at rest where applicable.
Administrative access is restricted to authorized personnel operating under secure and auditable support procedures.
Third-Party Integrations
Liquor Logic may integrate with third-party services and platforms, including accounting, logistics, inventory, reporting, payment processing, and government reporting systems such as Intuit QuickBooks.
By enabling an integration, you authorize Liquor Logic to access, process, store, and exchange data necessary for the operation of that integration.
Liquor Logic only accesses information reasonably required to provide integration functionality and does not sell customer data to third parties.
Use of third-party services remains subject to the terms and privacy policies of those providers.
6. Intellectual Property and Data Use
Liquor Logic and its licensors retain all ownership rights, title, and intellectual property rights in the Service, software, branding, APIs, documentation, and website content.
Customer Data remains your property.
You grant Liquor Logic a limited license to host, process, transmit, back up, and store Customer Data solely for:
- Providing the Service
- Supporting integrations
- Maintaining security and backups
- Improving platform reliability and functionality
API and Integration Data
Liquor Logic may securely store integration credentials, OAuth access tokens, refresh tokens, account identifiers, and related metadata required for maintaining authenticated third-party integrations.
Such credentials are encrypted and protected using commercially reasonable security measures.
Integration credentials are never publicly exposed and are only accessible by authorized systems and personnel where necessary.
7. Data Protection and Security
Liquor Logic implements commercially reasonable administrative, technical, and organizational safeguards designed to protect customer data.
Security measures may include:
- Encrypted data storage
- Encrypted transmission channels
- Role-based access control
- Audit logging
- Routine security monitoring
- Daily backups and disaster recovery procedures
While Liquor Logic takes reasonable steps to protect customer information, no system or transmission method can be guaranteed to be completely secure.
8. Warranties and Acknowledgements
The Service is provided on an "as is" and "as available" basis.
Liquor Logic does not guarantee uninterrupted or error-free operation of the Service.
You acknowledge that:
- The Service may occasionally become unavailable due to maintenance or unforeseen issues.
- You are responsible for determining whether the Service meets your operational requirements.
- Liquor Logic does not guarantee the accuracy of imported, synchronized, or third-party data.
- Excise calculations and compliance reports are based on available information and regulations at the time.
9. Limitation of Liability
To the maximum extent permitted by law, Liquor Logic shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, business interruption, loss of production data, or regulatory penalties.
Liquor Logic shall not be responsible for errors originating from third-party services, integrations, government systems, or external providers.
Your sole remedy for dissatisfaction with the Service is to discontinue use of the Service.
10. Payment and Billing
Subscription fees are billed monthly or annually in advance based on your selected plan.
Failure to pay fees when due may result in account suspension or termination.
Liquor Logic reserves the right to revise pricing with reasonable prior notice.
You remain responsible for all applicable taxes, duties, and government charges associated with your subscription.
11. Termination and Post-Termination Handling
Either party may terminate this Agreement at any time by written notice.
Liquor Logic may suspend or terminate accounts that violate these Terms or create security or operational risks.
Upon termination:
- Your access to the Service may be disabled.
- You may request an export of Customer Data in a commercially reasonable format.
- Liquor Logic may permanently delete Customer Data after a reasonable retention period unless legally required to retain it.
Data deletion requests may take up to thirty (30) days to complete across active systems and backups.
12. Help Desk and Support
Liquor Logic provides support through email, online support systems, and designated support channels during normal business hours.
We target platform availability of 99% uptime excluding scheduled maintenance.
Backups are performed regularly and retained according to internal backup policies.
Support response targets may vary depending on issue severity and operational conditions.
13. Dispute Resolution and Governing Law
This Agreement is governed by the laws of South Africa.
Any disputes arising from this Agreement shall first be attempted to be resolved through good-faith negotiation, mediation, or arbitration before formal litigation.
The courts of Cape Town, South Africa shall have exclusive jurisdiction over unresolved disputes.
14. General Terms
Entire Agreement
These Terms, together with the Privacy Policy and any applicable supplementary agreements, constitute the complete agreement between you and Liquor Logic.
Amendments
Liquor Logic may update these Terms from time to time. Updated versions will be published on the Website with revised effective dates.
Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain fully enforceable.
