Welcome to Liquor Logic, a cloud-based business management platform built for bars, restaurants, bottle stores, distilleries, wineries, breweries, and cideries operating across South Africa and internationally.
By registering for, accessing, or using the Liquor Logic platform, website, APIs, mobile applications, or any associated services (collectively, the "Service"), you agree to be bound by these Terms and Conditions. These Terms constitute a legally binding agreement between you (the "Customer") and Liquor Logic (Pty) Ltd ("Liquor Logic", "we", "us", or "our").
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not have such authority, or if you do not agree with these Terms, you may not use the Service.
Liquor Logic offers a 30-day free trial to all new customers. No credit card is required to begin your trial.
During the Trial Period, you have full access to all features of your selected Subscription Plan. At the end of the 30-day period, your account will transition to a paid subscription unless you cancel before the trial expires.
Liquor Logic reserves the right to modify, shorten, or discontinue trial offers at any time for new registrations. Any trial already in progress will be honoured for its full duration.
Customer Data created during the Trial Period is retained if you convert to a paid plan and may be exported or deleted upon request if you choose not to continue.
Following the Trial Period, continued access to the Service requires a valid paid subscription. Subscription fees are billed monthly or annually in advance based on your selected plan and billing cycle.
Liquor Logic offers two Subscription Plans:
You are responsible for all applicable taxes, VAT, duties, and government charges associated with your subscription. Liquor Logic will include VAT on invoices where legally required.
Failure to pay fees when due may result in temporary suspension of your account. Accounts suspended for non-payment for more than thirty (30) days may be terminated, and Customer Data may be scheduled for deletion.
Liquor Logic reserves the right to revise pricing with at least thirty (30) days prior written notice. Continued use of the Service after a price change constitutes acceptance of the revised fees.
All fees are non-refundable except where required by applicable law or as explicitly stated in a separate agreement.
Liquor Logic grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with your Subscription Plan and these Terms.
Violations of this section may result in immediate account suspension or termination without refund.
You are solely responsible for maintaining the confidentiality and security of your account credentials, including usernames and passwords. All activities occurring under your account are your responsibility.
You must notify Liquor Logic immediately at support@liquorlogic.co.za if you become aware of any unauthorized access, data exposure, or security incident involving your account.
Liquor Logic reserves the right to suspend or lock accounts where suspicious, unauthorized, or potentially harmful activity is detected — with or without prior notice.
We recommend using a strong, unique password and enabling any available multi-factor authentication features.
Customer Data remains your property at all times. Liquor Logic does not claim ownership of any data, records, recipes, batch logs, or other content you create or upload within the platform.
By using the Service, you grant Liquor Logic a limited, non-exclusive license to host, process, transmit, back up, and store Customer Data solely for the purpose of:
Customer Data is retained for the duration of your subscription and for a reasonable period thereafter. You may request an export or deletion of your data at any time by contacting support. Deletion requests will be processed within thirty (30) days across active systems and may take longer to propagate through backup systems.
Liquor Logic and its personnel treat all Customer Data as confidential. We will not disclose Customer Data to third parties except as required to provide the Service, comply with legal obligations, or with your explicit written consent. Confidentiality obligations survive termination of this Agreement for a period of five (5) years.
Liquor Logic is committed to full compliance with the Protection of Personal Information Act, 4 of 2013 (POPIA), and all associated regulations issued by the Information Regulator of South Africa.
In our capacity as a Responsible Party under POPIA, we collect and process personal information only where there is a lawful basis to do so, including performance of this Agreement, compliance with legal obligations, and legitimate business interests.
Personal information we collect may include your name, email address, company details, billing information, and usage activity within the platform. We process this information to provide, improve, and support the Service.

Liquor Logic and its licensors retain all ownership rights, title, and intellectual property rights in the Service, including the software, source code, user interface, branding, trademarks, APIs, documentation, and website content.
Nothing in these Terms transfers any intellectual property rights to you beyond the limited license granted in Section 5.
Liquor Logic may store integration credentials, OAuth tokens, API keys, account identifiers, and related metadata required to maintain authenticated connections with third-party services you have authorized. These credentials are encrypted using commercially reasonable security measures and are never publicly exposed. They are accessible only to authorized systems and personnel on a need-to-know basis.
Liquor Logic integrates with a range of third-party platforms including accounting, inventory, payment, logistics, and government reporting systems (for example, Intuit QuickBooks and SARS reporting interfaces).
By enabling a third-party integration, you authorize Liquor Logic to access, transmit, and process the data necessary for that integration to function correctly. Liquor Logic only accesses data reasonably required to deliver integration functionality.
Liquor Logic does not sell Customer Data to third-party service providers. Data shared with integrations is limited to what is necessary for the specific function requested.
Your use of third-party services remains governed by those providers' own terms and privacy policies. Liquor Logic is not responsible for the accuracy, availability, or conduct of third-party platforms.
Liquor Logic implements commercially reasonable administrative, technical, and organizational safeguards to protect Customer Data from unauthorized access, disclosure, alteration, or destruction.

While Liquor Logic takes reasonable steps to protect your information, no digital system or transmission method can be guaranteed to be completely secure. In the event of a security incident affecting your data, Liquor Logic will notify you within the timeframes required by applicable law.
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Liquor Logic makes no warranties — express, implied, statutory, or otherwise — including warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by applicable law, Liquor Logic shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Service, including but not limited to:
Liquor Logic's total aggregate liability to you for any claim arising under these Terms shall not exceed the total Access Fees paid by you in the three (3) calendar months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be lawfully excluded under South African law, including liability for fraud or gross negligence.
Either party may terminate this Agreement at any time by providing written notice to the other party. You may cancel your subscription at any time through your account settings or by contacting support.
Liquor Logic may immediately suspend or terminate your account, without prior notice or refund, if:

Liquor Logic provides customer support via email and online support channels during normal South African business hours (Monday to Friday, 09:00 – 17:00 SAST), excluding public holidays.
We target platform availability of 99% uptime per calendar month, excluding scheduled maintenance windows communicated in advance. Downtime caused by third-party infrastructure providers, force majeure events, or customer actions is excluded from uptime calculations.
Automated backups are performed daily and retained according to our internal backup retention policy. Backup restoration is available upon request and subject to reasonable processing time.
Support response times may vary based on issue severity, volume, and operational conditions. Critical issues affecting core functionality are prioritised.
This Agreement is governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law principles.
In the event of a dispute arising from or related to this Agreement, the parties agree to first attempt resolution through good-faith negotiation within thirty (30) days of written notice of the dispute.
If negotiation fails, the parties agree to attempt resolution through mediation facilitated by a mutually agreed mediator before initiating formal legal proceedings.
Subject to the foregoing, the parties irrevocably submit to the exclusive jurisdiction of the High Court of South Africa (Western Cape Division, Cape Town) for resolution of any unresolved disputes.
These Terms, together with the Privacy Policy and any applicable order forms or supplementary agreements, constitute the entire agreement between you and Liquor Logic and supersede all prior or contemporaneous representations, understandings, or agreements.
Liquor Logic may update these Terms from time to time. When material changes are made, we will notify registered users by email and publish the revised Terms on our website with an updated effective date. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Failure by either party to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
